This Service Agreement (“Agreement”) outlines the terms and conditions between GrowUpDigi (“We”, “Us”, or “Our”) and the client (“You” or “Client”) regarding the use of our digital marketing, SEO, and related services.
1. Scope of Services
GrowUpDigi agrees to provide services including but not limited to:
- Search Engine Optimization (SEO)
- Pay-Per-Click Advertising (Google Ads, Social Ads)
- Content Marketing
- Social Media Management
- Web Design & Development
- Email Marketing
- Analytics & Reporting
The exact scope, deliverables, and timelines will be defined in the project proposal or work order shared with the client before the engagement begins.
2. Client Responsibilities
The Client agrees to:
- Provide accurate and timely information required to deliver services.
- Approve/review content, designs, and deliverables within specified timeframes.
- Make payments as per the agreed terms in the invoice or proposal.
- Grant access to platforms (e.g., website backend, Google Analytics, ad accounts) where needed.
3. Project Timelines
Project timelines will be mutually agreed upon before the start of the service. Any delays caused by the client (e.g., delayed approvals, missing content) may result in adjusted timelines.
4. Fees & Payment Terms
- All payments must be made as per the terms outlined in the invoice or agreement.
- Monthly retainer services are billed in advance unless otherwise agreed.
- Late payments may result in service suspension or additional fees.
5. Intellectual Property
- All content, graphics, and materials created by GrowUpDigi remain the property of GrowUpDigi until full payment is received.
- Upon full payment, the Client has the right to use final deliverables for their intended business use.
- GrowUpDigi retains the right to showcase completed work in its portfolio.
6. Confidentiality
Both parties agree to keep all sensitive and proprietary information confidential. GrowUpDigi will not disclose client data, campaign results, or internal documents to third parties without written consent.
7. Limitation of Liability
GrowUpDigi shall not be held liable for any indirect or consequential losses, including loss of revenue, traffic, or rankings, caused by delays, third-party tools, platform updates, or other unforeseen circumstances.
8. Cancellation & Termination
Either party may terminate this agreement by providing a written notice (7–15 days) depending on the engagement model. Refer to our Refund & Cancellation Policy for details on billing and refunds upon termination.
9. Amendments
This Agreement may be modified at any time with written consent from both parties or by a new proposal/contract outlining revised terms.
10. Governing Law
This Agreement is governed by the laws of India, and any disputes will be subject to the jurisdiction of the courts located in [Your City/State].
